These are the terms on which this website is made available. They are short, they are ordinary, and they apply to everyone who visits.

01Agreement to these terms

By accessing or using madrinacommunications.com, you agree to these Terms of Use. If you do not agree with them, please do not use the site.

These terms apply to everyone who visits the site. They do not replace or modify the terms of any signed engagement agreement between Madrina Communications and a client company; where the two differ, the engagement agreement governs the work it covers.

02What this website is

A single page describing what Madrina Communications does, together with the legal pages that accompany it. Nothing more.

It is informational. It is not a platform, not a service, and not a place where anything is offered for sale. Please read the Disclaimer before drawing any conclusion from anything on it — in particular the disclosure that Madrina is compensated by the companies it works for.

03No professional relationship

Using this site does not make you a client of Madrina Communications, and does not create an advisory, agency, or fiduciary relationship. Madrina takes on work only under a signed written agreement.

04Intellectual property

The content of this site — text, layout, design, code, icons, images, and the Madrina Communications name, wordmark, and logo — belongs to Madrina Communications or is used by it under licence, and is protected by copyright and trade-mark law.

You may read the site, print a copy for your own reference, and share a link to it. You may not copy, reproduce, republish, adapt, or distribute any part of it for commercial purposes, or use the Madrina name or marks in a way that suggests an affiliation or endorsement that does not exist, without our written permission.

05Acceptable use

Use the site lawfully and leave it working for everyone else. You agree not to:

  • Use it for any unlawful purpose, or in breach of any applicable securities law
  • Attempt to gain unauthorised access to the site, its hosting, or any connected system
  • Interfere with the site’s operation, or attempt to overload or disrupt it
  • Scrape, harvest, or systematically extract content, including for training a machine learning model, without our written permission
  • Send the contact form spam, malicious code, or repeated automated submissions
  • Misrepresent who you are, or send us anything you are not entitled to send

06What you send us

If you submit anything through the contact form or send us an email, you confirm that it is accurate, that you are entitled to send it, and that sending it breaches no confidentiality obligation or law binding on you.

Do not send Madrina material non-public information about any company, and do not send confidential information before a written agreement is in place. Unsolicited communications through this site are not treated as confidential and we cannot undertake to keep them so.

We may use what you send us to respond to you and for the purposes described in the Privacy Policy. We will not publish it.

07Links to other sites

Where this site links out — for example to a securities regulator or a filing database — those sites are not under our control. We provide the links for convenience, we do not endorse what is on them, and we are not responsible for their content, accuracy, or privacy practices. Your use of them is governed by their terms, not ours.

08Availability

We try to keep the site up, but we do not guarantee that it will be available without interruption or free of errors. We may change, suspend, or withdraw any part of it at any time without notice, and we may update these terms as described below.

09Disclaimer of warranties

This website and everything on it is provided “as is” and “as available”, without warranty of any kind.

To the fullest extent permitted by law, Madrina Communications disclaims all warranties, express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the content is accurate, current, or complete, or that the site is free of viruses or other harmful components.

10Limitation of liability

To the fullest extent permitted by law, Madrina Communications and its directors, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profit, revenue, data, goodwill, or investment capital, arising out of or in connection with your use of this website — whether the claim is framed in contract, tort, negligence, statute, or otherwise, and whether or not we were advised that such loss was possible.

Where liability cannot lawfully be excluded, our total aggregate liability arising out of or relating to this website is limited to one hundred Canadian dollars (CAD $100). Nothing in these terms excludes or limits liability for fraud, fraudulent misrepresentation, or anything else that cannot be limited under applicable law.

11Indemnity

You agree to indemnify and hold harmless Madrina Communications and its directors, officers, employees, and contractors from any claim, loss, liability, or reasonable expense (including legal fees) arising out of your breach of these terms or your misuse of this website.

12Privacy

The Privacy Policy explains what personal information this site collects and what happens to it. It forms part of these terms. The short version: no cookies, no analytics, no tracking, and nothing collected but what you type into the contact form.

13Changes to these terms

We may revise these terms from time to time. The current version is always the one posted on this page, and the effective date at the top tells you when it was last changed. Continuing to use the site after a change means you accept the revised terms.

14Governing law

These terms, and any dispute or claim arising out of or in connection with them or with this website, are governed by the laws of the Province of British Columbia and the laws of Canada applicable in that province, without regard to conflict of laws principles.

You agree that the courts of British Columbia have exclusive jurisdiction over any such dispute, and you submit to the jurisdiction of those courts. If you are a consumer resident elsewhere, this does not deprive you of the protection of any mandatory law of the place you live.

15General

If any provision of these terms is found unenforceable, that provision is severed and the rest continue in force. Our failure to enforce a provision is not a waiver of it. These terms, together with the Privacy Policy and the Disclaimer, are the entire agreement between you and Madrina Communications concerning this website.
